Terms of Service

The short version: You pay 50% to start, we build your website within 14 days, you get revision rounds depending on your package, and the finished site is yours once the balance is paid. Read the full terms below for specifics on scope, intellectual property, and liability.

1. Agreement to Terms

These Terms of Service ("Terms") are a legal agreement between you ("Client," "you," or "your") and CopperBuilds ("we," "our," or "us"), a web design and digital marketing agency founded by Luis Echarri, operating at copperbuilds.com.

By submitting a project inquiry, signing a project proposal, or making a payment to CopperBuilds, you agree to be bound by these Terms. If you do not agree, do not engage our services.

2. Services

CopperBuilds provides web design, search engine optimization (SEO), Google Business Profile management, and social media services to small businesses in the United States. The specific services, deliverables, and timeline for your project are defined in the project proposal or package description you receive before payment.

After the first year, hosting can be continued through our Basic Care plan at $99/month, or you can move the site to any host you choose. You own the files either way.

Add-on services (additional pages, blog setup, e-commerce, ongoing maintenance) may be scoped separately and priced accordingly.

3. Payment Terms

Deposit

All projects require a 50% non-refundable deposit before any work begins. The deposit secures your spot in our queue and covers the time spent on discovery, strategy, and initial build. Work does not start until the deposit is received and confirmed.

Final payment

The remaining 50% balance is due upon project completion, before we hand over the live website files, hosting credentials, or transfer any domain or platform access to you.

Payment methods

We accept payment via bank transfer, PayPal, and other methods specified on your invoice. All amounts are in USD.

Late payments

If the final balance is not paid within 14 days of the completion notice, we reserve the right to take the website offline and withhold delivery of project files until payment is received.

4. Project Process

Onboarding

After the deposit is received, we send you an onboarding questionnaire to gather the information we need to build your site. The project clock starts once we receive your completed questionnaire.

Delivery

Our target delivery time is 48–72 hours from the date we receive a complete, filled-out onboarding questionnaire. Complex projects (Growth and Pro packages) may take 3–5 business days. Delivery timelines are targets, not guarantees, and may be affected by delays in receiving required materials from you.

Review and revisions

Upon delivery, you have 5 business days to review the project and submit consolidated feedback. Your package includes a set number of revision rounds (see Section 2). A revision round means one set of consolidated feedback addressed in one round of changes—not individual back-and-forth requests spread across multiple emails.

Revision rounds do not carry over to other projects and expire 30 days after delivery.

Project approval

The project is considered complete and approved when you (a) explicitly approve it in writing, or (b) do not submit feedback within 5 business days of the delivery notice. Upon approval, the final invoice is issued.

5. Client Responsibilities

You are responsible for:

Delays caused by late or incomplete materials from you do not extend any delivery guarantees or entitle you to a refund.

6. Intellectual Property

Your content

All content you provide—logos, photos, text, brand materials—remains your intellectual property. You grant us a limited license to use it solely for building your project.

Finished website

Upon receipt of full payment, you own the finished website design, code, and content. We assign all rights to the completed deliverables to you at that point.

Before full payment

Until the final balance is paid, all work product (designs, code, content) remains the intellectual property of CopperBuilds. You may not use, publish, or deploy the work until payment is complete.

Our portfolio rights

We reserve the right to display your completed website in our portfolio, case studies, and marketing materials unless you request in writing that we do not. We will never share confidential business information without your consent.

Third-party components

Websites may use open-source libraries, fonts, or stock images that carry their own licenses (e.g. MIT, Creative Commons). These components are not exclusively yours—they are shared under their original license terms.

7. Scope Changes

The project scope is defined by the package you purchased and the onboarding questionnaire. Requests that fall outside that scope—additional pages, new features, significant redesigns after approval—are treated as new work and priced separately.

We will always tell you when a request is out of scope before doing any additional work. We will not surprise you with extra charges.

8. Cancellation and Refunds

Client-initiated cancellation

If you cancel after the deposit has been paid but before work begins, the deposit is non-refundable—it compensates for the time reserved for your project.

If you cancel after work has begun, no refund is issued. You will receive all work completed up to the point of cancellation.

CopperBuilds-initiated cancellation

We reserve the right to cancel a project if you provide false information, engage in abusive or harassing behavior, or request content that is illegal, defamatory, or violates these Terms. In such cases, we will refund the deposit minus reasonable compensation for work already completed.

Satisfaction policy

If you are genuinely unsatisfied with the delivered work and we cannot resolve the issue through revisions, contact us at lantech016@gmail.com and we will work with you in good faith to find a fair resolution. We stand behind our work.

9. Hosting and Ongoing Maintenance

Every package includes 1 year of free hosting. After year one, you can continue with our Basic Care plan at $99/month—which covers hosting, maintenance, and backups—or transfer the site to any host you choose. You own all files either way.

We are not responsible for downtime, data loss, or security issues that occur on hosting platforms you control after a site transfer or after the included hosting period ends.

If you purchase an ongoing maintenance or care plan from us, that plan is governed by a separate service agreement.

10. Third-Party Services

Your website may integrate with or depend on third-party services (Google Analytics, Google Business Profile, social media platforms, email providers, payment processors). We are not affiliated with or responsible for these services, their terms, availability, or changes to their platforms.

If a third-party service changes its API or policies in a way that affects your website after handover, fixing it may require additional work billed at our standard rate.

11. Warranties and Disclaimers

We deliver our work with professional care and skill. We warrant that:

All services are provided "as is" except as explicitly warranted above. To the fullest extent permitted by law, we disclaim all other warranties, express or implied.

12. Limitation of Liability

To the fullest extent permitted by applicable law, CopperBuilds's total liability to you for any claim arising from or related to our services shall not exceed the total amount you paid us for the project in question.

In no event shall CopperBuilds be liable for any indirect, incidental, special, consequential, or punitive damages—including lost profits, lost revenue, or business interruption—even if we have been advised of the possibility of such damages.

13. Indemnification

You agree to indemnify, defend, and hold harmless CopperBuilds, its owner, and contractors from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

These Terms are governed by the laws of the United States. Any dispute arising from these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If that fails, disputes shall be resolved through binding arbitration or in the courts of competent jurisdiction in the United States.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. Continued use of our website or services after a change constitutes acceptance of the updated Terms. We will notify active clients of significant changes by email.
